At the outset of our engagement, we will dive deep into your goals and develop the buyer profile you’ll need to engage prospective businesses.

2. Research & Identify Prospects

Walden principals analyze potential acquisition targets based on buyer goals, market position, and a host of other components. 

This phase includes building a database of prospects for consideration before contacting viable targets.

3. Exchange Information & Submit Expression of Interest

After identifying and agreeing to your acquisition targets, we will contact them and exchange information. If the business owner is open to a sale, Walden principals prepare and submit a formal expression of interest.

In some instances, we can remove competition by sourcing directly under a buy-side advisory engagement.

4. Negotiation

If both sides are agreeable after the expression of interest, Walden will prepare a Letter of Intent, which includes key transactional issues and a written offer to purchase. Negotiations with the buyer begin at this stage and inform the letter’s content.

When the seller agrees to the Letter of Intent, Walden principals begin negotiating the Definitive Agreement on your behalf.

5. Manage Due Diligence

As your representative, Walden will verify the accuracy of the seller’s financial and operational representations.

This detailed review is typically completed within 30 days of the signing of the Letter of Intent.

6. Close Transaction

After all major issues are resolved, Walden coordinates the closing of the transaction and oversees the finalization of the contracts. Walden principals also mediate any post-closing issues.
